Term & Condition
1. Mandatory License Requirement:
To comply with regulatory standards, any individual or entity purchasing pesticides, fertilizers, seeds, or other agricultural products from GPC Agrochemicals Pvt. Ltd. must possess a valid pesticide, fertilizer, seed, or relevant business license. The buyer must present the license at the time of purchase to validate the transaction. Without a valid license, GPC Agrochemicals Pvt. Ltd. will be unable to process invoices or fulfill orders. This requirement is in place to ensure compliance with legal and industry guidelines. The buyer acknowledges that it is their responsibility to secure and provide proof of such a license before initiating any transaction.
2. No Returns Policy:
All sales made by GPC Agrochemicals Pvt. Ltd. are final. Once goods are sold and delivered, they are not eligible for return under any circumstances. The buyer is advised to thoroughly review the order before confirming the purchase to ensure it meets their specific needs and expectations. The company strongly recommends that buyers carefully examine the goods upon delivery for any discrepancies before accepting them. Once accepted, the buyer assumes full responsibility for the products. No exchanges or refunds will be processed after delivery. This policy ensures transparency and clarity in transactions.
3. Non-Fulfillment of Order:
In the unlikely event that GPC Agrochemicals Pvt. Ltd. is unable to fulfill an order for any reason after payment has been made, the company will promptly issue a full refund to the buyer. The refund will be limited to the amount paid by the buyer for the unfulfilled order. However, GPC Agrochemicals Pvt. Ltd. shall not be held liable for any additional expenses or compensation beyond the original payment. The company will take all necessary steps to ensure the timely and accurate completion of orders, but unforeseen circumstances such as supply chain disruptions, regulatory issues, or product shortages may impact fulfillment.
4. Limited Liability on Order Cancellation by GPC Agrochemicals Pvt. Ltd.:
If, for any reason, GPC Agrochemicals Pvt. Ltd. needs to cancel an order, the buyer will be refunded the full amount of any advance payment made. The refund will be processed promptly upon notification of cancellation. However, beyond the refund of the advance payment, the buyer will not be entitled to any additional compensation or damages. GPC Agrochemicals Pvt. Ltd. reserves the right to cancel orders under circumstances such as unforeseen product unavailability, market conditions, or changes in regulatory compliance. In such cases, the company's liability is limited strictly to refunding the advance payment.
5. Forfeiture of Advance Payment in Case of Buyer’s Non-Performance:
Any advance payment made by the buyer toward an estimate, which later becomes part of the invoice, shall be treated as earnest money. If the buyer fails to fulfill their obligations under the contract, or if the buyer breaches the terms of the agreement, GPC Agrochemicals Pvt. Ltd. reserves the right to forfeit the advance payment in its entirety. This forfeiture will serve as compensation to GPC Agrochemicals Pvt. Ltd. for the buyer’s non-performance. The company will retain the full amount of the advance as liquidated damages. Buyers are encouraged to ensure that they meet all obligations and deadlines to avoid forfeiture of their payments.
6. Issuance of Invoice:
Upon the dispatch of materials, GPC Agrochemicals Pvt. Ltd. will issue a formal Tax Invoice or Bill of Supply to the buyer. This document will contain all pertinent details of the transaction, including the description of goods, quantity, price, applicable taxes, and any other relevant terms. The invoice serves as the official proof of sale and will be provided at the point of delivery or dispatch of the goods. The buyer must ensure that the information in the invoice matches their purchase order. Any discrepancies should be immediately reported to the company. The Tax Invoice or Bill of Supply will serve as a final statement of the transaction and the buyer’s acceptance of the terms outlined therein.
7. Governing Law and Jurisdiction:
All transactions between GPC Agrochemicals Pvt. Ltd. and the buyer shall be governed by the laws of India. Any disputes arising from these terms and conditions will be subject to the exclusive jurisdiction of the courts located in [insert jurisdiction].
8. Acceptance of Terms:
By making a purchase or entering into a transaction with GPC Agrochemicals Pvt. Ltd., the buyer acknowledges and agrees to the terms and conditions outlined above. These terms represent the entire agreement between the buyer and the company and supersede any prior discussions or agreements.
